These Terms of Service (the “Terms”) govern your access to and use of the public-facing Vici.bio website(s) and any related dashboards, applications, APIs, compute orchestration, and services we make available (collectively, the “Platform” or “Services”). By accessing or using the Platform, you agree to be bound by these Terms, our Privacy Policy, and any additional notices or policies posted on the Platform. If you do not agree, you must not use the Platform.
“Content” means the Platform software, user interface, workflows, documentation, text, graphics, branding, and other materials provided by Vici.bio. “User Content” means sequences, structures, files, parameters, molecular data, and any other content you upload or submit to run jobs. “Outputs” means results generated for you by the Platform (for example sequences, structures, scores, predictions, logs, and reports).
These Terms apply only to use of the Platform and do not modify any separate written agreement you may have with Vici.bio unless that agreement explicitly references these Terms. Vici.bio operates from the United Kingdom.
Vici.bio provides web-based tools and workflows for antibody design, structural modelling, and bioinformatics analysis using AI-driven models, including access to third-party or open-source tools through an interface and GPU-backed infrastructure. The Platform may change over time. We may add, remove, modify, suspend, or discontinue features (in whole or in part), with or without notice.
Certain features may be subject to additional service-specific terms, usage limits, or technical constraints presented within the Platform. If there is a conflict, those service-specific terms apply to that feature.
You may use the Platform only for lawful purposes and in accordance with these Terms. You agree not to use the Platform in any way that could disable, overburden, damage, or impair the Platform, or interfere with any other user’s access or the operation of our systems.
Without limitation, you agree you will not:
You acknowledge that violations (or threatened violations) of this Section may cause harm not adequately compensable by damages, and we may seek injunctive or equitable relief as permitted by law.
You may not use robots, spiders, scrapers, crawlers, automated scripts, or other automated means to access, query, copy, monitor, or extract data from the Platform, including automated performance testing or monitoring, without our prior written consent. Any permitted linking must not misrepresent your relationship with Vici.bio or suggest endorsement.
The Platform and all Content are the property of Vici.bio and/or its licensors and are protected by copyright, trade marks, patents, trade secrets, and other laws. Except for the limited rights expressly granted in these Terms, no licence or other rights are granted to you, whether by implication, estoppel, or otherwise. You must not modify, copy, distribute, sell, resell, or create derivative works of the Platform or Content except as expressly permitted by these Terms.
If you upload User Content, you retain ownership of your inputs. Outputs generated by the Platform are your results. Vici.bio does not claim intellectual property rights in your User Content or Outputs.
You grant Vici.bio a limited, non-exclusive licence to process your User Content and Outputs only to execute and deliver the jobs you initiate. We do not use your User Content or Outputs for training, analytics, marketing, or any other purpose.
You are solely responsible for determining what protections you may need for your Outputs (including confidentiality measures and patent strategy) and for ensuring you have rights to use any User Content you provide. You understand that it is possible for different users to produce identical or similar Outputs, and we make no promise of uniqueness.
Non-public portions of the Platform and Services, including dashboards, orchestration workflows, system logs, network or infrastructure details, non-public pricing, and performance metrics, are Vici.bio confidential information. You must not disclose or use such information except as necessary to use the Platform as permitted by these Terms.
Email is not a secure channel and may be viewable by third parties in transit. Do not email sensitive User Content or Outputs to us. If you believe account security has been compromised, contact us promptly at info@vici.bio.
To the fullest extent permitted by law, Vici.bio is not responsible for loss or corruption of User Content or Outputs, including loss caused by user error, third-party systems, outages, or other events outside our reasonable control.
Outputs are provided as is and for research use only. The Platform and Content are provided for general information and do not constitute technical, legal, medical, regulatory, financial, or other professional advice. You are responsible for validating Outputs and for all decisions and actions you take based on the Platform.
You must not use the Platform for medical diagnosis, treatment, or clinical decision-making without appropriate approvals and regulatory clearance.
Some Platform features provide access to third-party or open-source models, datasets, tools, or services. Your use of those components is subject to their own licences and terms (which may include attribution or field-of-use restrictions). Where there is a conflict, the third-party terms govern that component. Vici.bio provides access as a convenience and is not responsible for third-party content, updates, availability, or results.
The Platform may contain links to external websites or social media platforms. We do not control and are not responsible for their practices or policies. Links are provided for convenience only and do not imply endorsement.
If third-party services are offered through the Platform, any transaction is between you and the third party. Vici.bio is not responsible for the third party’s terms, performance, or services, and you release Vici.bio from claims arising from disputes between you and third parties to the fullest extent permitted by law.
We are a small UK-based team and the Platform is provided with no service-level guarantees. If the Platform is paid, you agree to pay applicable fees, taxes, and charges associated with your plan. You can cancel your subscription at any time from your account settings. Cancellation stops future billing at the end of your current billing period unless stated otherwise at checkout.
We may change features, limits, pricing, or availability. If we discontinue a paid feature you rely on, we will make reasonable efforts to notify you in advance.
Cancel anytime: You may cancel at any time. Cancellation does not automatically delete your content. You continue to control export and deletion of User Content and Outputs.
Our right to restrict or terminate: We may suspend, restrict, or terminate your access to the Platform (in whole or part) at our discretion, including if we reasonably believe you are engaging in illegal, unsafe, abusive, or prohibited activity, or if required to protect users, the public, or the Platform. Authorisation to access the Platform is conditioned on ongoing compliance with these Terms and may be revoked at any time. If we notify you that access is revoked or implement technical blocks, any subsequent access is unauthorised.
Effect of termination: If we suspend or terminate access for prohibited activity, we may permanently delete User Content and Outputs from our systems with no backups (irrecoverable). Where required by law, we may retain limited non-content records (for example billing, audit, or legal compliance records), but not your plaintext content.
The Platform and Content are provided as is and as available. To the fullest extent permitted by law, Vici.bio disclaims all warranties, express or implied, including merchantability, satisfactory quality, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Platform will be uninterrupted, secure, or error-free, or that defects will be corrected.
To the fullest extent permitted by law, Vici.bio and its founders, officers, directors, employees, contractors, and licensors are not liable for indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, profits, goodwill, or business interruption arising from or related to the Platform.
Subject to applicable law, our total aggregate liability for any claim relating to the Platform will not exceed the amounts you paid to Vici.bio for the Platform in the twelve (12) months before the event giving rise to the claim. You acknowledge these limitations are a fundamental basis of the agreement between you and Vici.bio.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (including fraud or fraudulent misrepresentation).
You agree to indemnify, defend, and hold harmless Vici.bio and its officers, directors, employees, contractors, agents, licensors, and service providers from and against losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Platform; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any law or third-party rights. If you cause a technical disruption, you agree to be responsible for the resulting losses and costs. Vici.bio may assume exclusive control of the defence of any matter subject to indemnification, and you agree to cooperate.
These Terms are governed by the laws of Scotland. You and Vici.bio agree to the non-exclusive jurisdiction of the courts of Scotland, England and Wales, and Northern Ireland.
Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect. Headings: Headings are for convenience only and do not affect interpretation. No waiver: Failure to enforce a provision is not a waiver of the right to enforce it later. Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganisation, or sale of assets.
Entire agreement: These Terms, any service-specific terms, our Privacy Policy, and any other policies posted on the Platform constitute the entire agreement and supersede prior or contemporaneous understandings relating to the Platform.
We may update these Terms from time to time. If we make material changes, we will post the updated Terms on this page and update the “Last updated” date. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
